Terms of Service

1. Definitions

In these Terms of Service, the following definitions apply:

• "Service" means the ACS Monitor Cloud platform, including the website at acsmon.com, the licensing server, download hub, license API and all related services.
• "Software" means the ACS Monitor application deployed on infrastructure controlled by you.
• "User" or "You" means any individual or entity that creates an account and uses the Service.
• "Server" means an instance of the ACS Monitor application registered to your account and associated with a license key.
• "License" means the right to use ACS Monitor on a single server, subject to the terms of your selected tier.
• "Tier" means the subscription level (Free, Pro, Enterprise or Custom) that determines your device and monitor cap and available features.
• "We", "Us" or "Our" means Anglia Computer Solutions Business Limited, trading as ACS Monitor.

2. Account Registration

• You must be at least 18 years of age to create an account and use the Service.
• You must provide accurate, current and complete information during registration and keep your account information up to date.
• Each individual or company may maintain only one account. Creating multiple accounts to circumvent licensing restrictions is prohibited.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately if you become aware of any unauthorised use of your account.

3. License Tiers and Usage

ACS Monitor is available under the following tiers:

Device counts and service monitor counts are combined when calculating usage against your cap. For example, 60 devices plus 40 service monitors equals 100 total.

3.5 Software Usage

Use of the ACS Monitor software deployed on your own infrastructure is governed by the End User License Agreement (EULA). These Terms apply to your use of the Service, including account management, licensing, billing, and related functionality.

4. Free Tier Abuse Policy

The Free tier is provided to allow evaluation and small-scale use of ACS Monitor.

You agree not to misuse or attempt to circumvent these limitations.

Prohibited activities include:

• Creating multiple accounts, license keys, or servers to bypass device and monitor caps or paid subscription requirements
• Repeatedly redeploying or resetting servers to extend free-tier usage beyond its intended scope
• Using automation or scripts to generate or manage multiple free-tier deployments at scale
• Sharing license keys between unrelated parties or organisations
• Any activity reasonably intended to avoid payment for features or capacity that would otherwise require a paid subscription

We may use reasonable technical measures to detect and prevent abuse.

Where we reasonably determine that misuse has occurred, we may:

• Restrict or revoke license keys
• Suspend access to licensing services
• Require transition to an appropriate paid tier
• Suspend or terminate your account

5. Payment Terms

• Paid tiers are billed annually in GBP via Stripe
• Subscriptions automatically renew unless cancelled before renewal
• You may manage billing via the Stripe customer portal
• If payment fails, your account may enter a past-due state
• If payment is not resolved within 14 days, we may suspend access to licensing services and subscription features
• Prices may change with at least 30 days notice

6. Refund Policy

Except where required by applicable law:

You have a 14-day cooling-off period from the initial purchase date.

• Full refund available within 14 days
• After 14 days, refunds are not available
• Cancellation stops renewal but does not refund current billing period

7. Acceptable Use

You agree not to:

• Use the Service unlawfully
• Resell or redistribute without permission
• Reverse-engineer the Software
• Attempt unauthorised access
• Transmit malware
• Disrupt the Service
• Use automated tools outside documented APIs

8. Intellectual Property

• ACS Monitor remains the property of Anglia Computer Solutions Business Limited
• Your subscription grants a limited, non-exclusive license
• No ownership rights are transferred

9. Data Processing

Your use of the Service is subject to our Privacy Policy.

10. Service Availability

• No guarantee of 100% uptime
• Free tier is best-effort only
• Pro/Enterprise receive prioritised infrastructure
• Custom SLAs are agreed separately
• Maintenance may occur with or without notice

11. Support

• Documentation available to all users
• Support via ticket system
• No guaranteed response times unless agreed
• Limited to ACS Monitor functionality
• Custom support agreements may apply

12. Limitation of Liability

To the maximum extent permitted by applicable law:

We are not liable for:

• Indirect or consequential damages
• Loss of profits, data, or business

Our total aggregate liability, in aggregate across all claims, shall not exceed:

• The amount paid in the previous 12 months; or
• £100 if no fees have been paid

Whichever is greater.

Nothing excludes liability that cannot be excluded by law.

13. Termination

• You may terminate at any time
• We may suspend or terminate your account for breach or misuse

Upon termination:

• License keys may be revoked
• Access to licensing services may be restricted
• This may affect operation of your servers

14. Governing Law

These Terms are governed by the laws of England and Wales.

15. Dispute Resolution

Contact support first. If unresolved, disputes are handled by courts of England and Wales.

16. Modifications

We may update these Terms with 30 days notice.

17. Severability

Invalid provisions do not affect the rest.

18. Entire Agreement

These Terms, together with:

• The End User License Agreement
• The Privacy Policy
• Any Custom Agreements

constitute the entire agreement.
